1. Acceptance & Scope of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Merchant", "User", "you") and Poslytics Technologies Ltd. ("Poslytics", "we", "us", "our"). By creating an account, registering a business entity, accessing our web or mobile applications, or utilizing any portion of the Poslytics suite, you agree to be bound by these Terms and our Privacy Policy.

If you are entering into this Agreement on behalf of a company, organization, restaurant group, or other legal entity, you represent and warrant that you possess the requisite authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with any provision of these Terms, you must not access or use Poslytics.

2. Eligibility & Account Registration

To use Poslytics, you must register for an account and provide accurate, current, and complete information, including legal business name, valid email address, authorized contact number, and jurisdictional operating details.

3. Platform Services & Offline Capabilities

Poslytics provides a modular SaaS platform comprising Cloud Point of Sale (POS), Inventory & Supply Chain Management, Table & Spot Management, Kitchen Display Systems (KDS), Staff Scheduling & Attendance, Reservation Bookings, and Multi-Branch Analytics.

Offline Mode Functionality: Poslytics incorporates offline caching mechanisms allowing POS terminals to process orders, generate local receipts, and register cash transactions during internet outages. You acknowledge that certain cloud-dependent features (e.g., real-time multi-terminal stock locking, online payment gateway settlement, and automated supplier reorders) require active internet connectivity and will synchronize once your terminal reconnects.

4. Subscriptions, Billing & Renewals

Poslytics services are billed on a recurring subscription basis (monthly or annually) according to your selected plan, active branch count, and optional add-ons.

• • Automatic Renewal: Subscriptions automatically renew at the conclusion of each billing period unless cancelled prior to the renewal date via your merchant dashboard.
• • Fees & Taxes: All stated fees exclude applicable sales tax, VAT, or local business levies, which will be charged in accordance with local regulations.
• • Payment Gateways: Transaction processing fees for integrated payment gateways (e.g., card networks, mobile financial services) are governed by the respective provider's agreement and deducted at settlement.
• • Refund Policy: Subscription fees are non-refundable except where mandated by statutory consumer protection law or explicitly approved in writing by Poslytics management.

5. Merchant Data & Intellectual Property

Ownership:You retain all ownership, rights, and title to your data ("Merchant Data"), including menu catalogs, recipes, pricing structures, inventory lists, customer loyalty databases, and sales metrics.

License to Poslytics: You grant Poslytics a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Merchant Data solely to the extent necessary to provide, maintain, optimize, and secure the services.

Platform IP: All software, designs, algorithms, user interfaces, branding, patents, and documentation associated with Poslytics remain the exclusive property of Poslytics Technologies Ltd. and its licensors.

You agree not to misuse the Poslytics platform. Specifically, you agree not to:

7. Hardware & Third-Party Integrations

Poslytics interfaces with third-party peripheral hardware (thermal ESC/POS receipt printers, cash drawers, barcode scanners, kitchen displays, payment terminals) and third-party software channels (food delivery aggregators, accounting packages, SMS gateways).

While Poslytics makes commercial efforts to maintain broad compatibility, we do not warrant the continuous operation of third-party hardware or API endpoints operated by external vendors. Merchants are responsible for maintaining hardware drivers, local network infrastructure, and vendor subscriptions.

8. Service Availability & Maintenance

Poslytics targets a 99.9% uptime target for cloud services. Planned maintenance windows are scheduled during off-peak business hours and announced in advance via the dashboard banner or email.

In the event of unanticipated cloud infrastructure degradation, local POS terminals will continue to function in offline cached mode.

9. Suspension & Termination

By You: You may cancel your subscription at any time via your Merchant Settings dashboard. Access to cloud services will remain active through the end of the paid billing cycle.

By Poslytics: We may suspend or terminate your account immediately without prior notice if you violate these Terms, engage in fraudulent transactions, fail to pay subscription dues after grace period notices, or if required by law enforcement.

Data Export Grace Period: Upon voluntary cancellation, Poslytics provides a thirty (30) day grace period during which you may request a complete CSV/JSON export of your historical sales, inventory, and customer databases.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POSLYTICS, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF SALES, BUSINESS INTERRUPTION, LOSS OF REVENUE, OR DATA LOSS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF POSLYTICS FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO POSLYTICS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless Poslytics, its affiliates, directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in connection with: (a) your breach of this Agreement; (b) your violation of applicable laws or regulations; (c) your Merchant Data; or (d) disputes between you and your end customers or employees.

13. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Poslytics operates, without giving effect to any conflict of law principles. Any dispute arising out of or related to this Agreement shall first be submitted to good-faith mediation before initiating formal arbitration proceedings.

14. Modifications to Terms

We reserve the right to revise or update these Terms at any time. When material modifications occur, we will provide at least fifteen (15) days notice by posting an announcement in the Merchant Dashboard and sending an email notice to the registered administrator. Continued use of Poslytics following the effective date of updated terms constitutes binding acceptance.
